This is the list I actually run before I buy a practice, in the order I run it: financials first, contracts second, people and property last. It's not a substitute for your attorney or your CPA. It's the filter I use before I spend real money finding out whether a deal I liked on paper survives a second look.
The PDF is the print-ready version, organized the same way I organize the review itself, with a short line under each item explaining why it matters where that matters. The spreadsheet is the same list turned into a tracker, so you can work through a specific practice's documents one row at a time without losing your place.
What's inside
- The PDF checklist: nine sections, from defining your own non-negotiables before you look at a listing through financials, the P&L add-backs, contracts, patients, the lease, equipment, the team, and liability protections
- The XLSX tracker: one row per item, with columns for the section it belongs to, status, notes, and who's responsible for chasing it down
- A Notes sheet in the spreadsheet naming the three articles every item is drawn from
How to use it
- Fill in your own answers to the "Before You Start" section before you look at any specific listing.
- Work through the tracker in order as documents come in from the seller or broker, checking off status as you go.
- Flag anything that doesn't hold up in the Notes column and take it to your attorney or CPA before you write an offer.
- Keep the PDF on hand during the actual document review; use the spreadsheet to track progress across the whole list.
